Legal and Compliance Manager

 

This role provides support in addressing the Company’s and its subsidiary’s legal, corporate secretariat and regulatory requirements.

Job Description
  • Draft and negotiate contracts including but not limited to master service agreements and work orders, consulting and vendor agreements, confidentiality agreements and commercial contracts.
  • Helps ensure the contract repository is accurate and up to date.
  • Helps review and implement existing and new policies and procedures to ensure overall compliance with all regulatory agencies (i.e. DOLE, NPC, SEC, Local government, etc).
  • Work closely with members of Finance and other departments to help ensure compliance cross-functional policies and procedures. Guides all managers/executives and leaders to ensure regulatory compliance and protection of Company’s interests.
  • Serve as liason with outside counsel, as necessary. Represents the company in legal proceedings.
  • Assist with possible mergers, acquisition and formation of business entities within the jurisdiction and other markets for business expansion.
  • Conduct legal research in multiple areas of law as needed to make well-educated legal recommendations.
  • Assists HR Department in employment and labor concerns and assists in the immigration process as needed.
  • Analyze actions and decisions of the company to identify problem areas, suggest alternative course of action and mitigate risks.
  • Provides corporate secretarial support and notarial services for the Company.

    • Internal - Business Units, Finance team and other support groups
    • External - Stakeholders (Globe) and external auditors
Job Qualifications/Requirements
  • Education
    • Juris Doctor / Law Degree Graduate / Bar passer
  • Experience
    • At least 5 years experience in drafting and negotiating variety of contracts, employment law, relevant to the industry
  • Technical Skills
    • Strong contract drafting and negotiating skills
    • Strong background in Data Privacy Protection, Corporate Law and Labor Law
    • With experience in dealing with government agencies such as NLRC, DOLE, BIR
  • Soft Skills
    • Strong professionalism and interpersonal skills
    • Ability to work independently while exercising sound judgement in determining when to escalate issues
    • Demonstrated ability to multi-task, problem-solve and operate in a fast-paced environment
    • Efficient and keen to details.
